ASA Vendor Terms and Conditions

1. Eligibility & Registration

You confirm that the information you provide is true, complete, and that you are authorized to represent your organization in this agreement.

2. Annual Vendor Fee

You agree to pay a non-refundable annual subscription fee, which includes access to ASA’s member network, promotional support, and vendor directory placement.

Unless cancelled with at least 30 days’ notice prior to your renewal date, your subscription will be automatically renewed and the annual fee debited on the anniversary of your original registration.

3. Vendor Commitments

You agree to:

  • Offer ASA Members exclusive or preferential pricing (minimum 15–20% or other agreed value).
  • Fulfill orders or deliver services to ASA Members in a timely and professional manner.
  • Honor any promotions, discount codes, or incentives offered by you via the ASA platform.

4. ASA Obligations

ASA will:

  • List your business and offerings in the ASA Vendor Directory.
  • Promote your business to ASA Members through email, social, conference exposure, and platform channels.
  • Provide tracking tools or affiliate systems (optional) to support vendor success.

5. Commissions (If Applicable)

If a commission model is used:

  • You agree to pay a mutually agreed % commission on sales to ASA Members.
  • Commissions will be paid to ASA monthly or quarterly based on agreed terms and may be verified by usage tracking, data  or reporting.

6. Intellectual Property

You retain ownership of your branding, trademarks, and product content. ASA may use your provided materials to promote your offerings to Members.

7. Confidentiality

Both parties agree to protect confidential information and not share it with third parties unless required by law.

8. Termination

This agreement may be terminated by either party with 30 days’ notice. ASA may terminate immediately in the case of a breach. No refunds will be provided after payment.

9. Liability

ASA is not liable for any vendor service, product, or transaction. You agree to indemnify ASA from claims or disputes arising from your business activities or offerings.

10. Changes to Terms

ASA may update these terms with written notice. Continued participation after notification constitutes acceptance of the revised terms.

11. Governing Law

This agreement is governed by the laws of New South Wales, Australia, and subject to mediation before legal action is pursued.

ASA Member Terms and Conditions

1. Membership Eligibility

You confirm that:

  • You are 18 years of age or older (or have legal authority to represent an organization).
  • You will provide accurate and complete information during registration.
  • Your membership is for your personal or professional use and may not be transferred.

2. Member Access and Benefits

  • As a Member, you gain access to ASA’s preferred supplier network, which may include exclusive discounts, partner promotions, and other member-only content or tools (depending on membership type or affiliation).
  • Member benefits are subject to availability and may change or evolve without prior notice.
  • ASA makes no guarantees regarding savings, vendor offerings, or vendor participation levels.

3. Member Responsibilities

By joining ASA, you agree to:

  • Use ASA membership in good faith and not abuse discount codes or benefits.
  • Maintain confidentiality of any ASA-supplied discount codes or promotional terms.
  • Communicate directly with vendors for support, purchases, or service delivery.
  • Not resell, redistribute, or publish member-exclusive content or materials without permission.

4. Pricing and Subscription

  • Membership may be free or paid, depending on your membership type and affiliations.
  • If a paid subscription applies, the membership fee will be disclosed before purchase and is non-refundable once processed.
  • Unless cancelled, your subscription will be automatically renewed and the annual fee debited on the anniversary of your original registration.

5. Third-Party Vendors

  • ASA is not responsible for the products, services, or experiences offered by vendors in the network.
  • All transactions are between the Member and the Vendor.
  • Any issues regarding product/service quality, warranties, refunds, or delivery must be resolved directly with the Vendor.

6. Confidentiality and Data Use

  • Your personal data will be stored securely and used in accordance with our Privacy Policy.
  • ASA may share limited information with Vendors strictly for tracking, personalization, or service improvement purposes. No sensitive financial information is shared without explicit consent.

7. Termination of Membership

  • You may cancel your membership at any time by contacting ASA.
  • ASA reserves the right to suspend or terminate a Member account without notice if misuse, abuse of the platform, or violation of these Terms is suspected.
  • In the event of termination, access to benefits and materials will cease immediately.

8. Changes to Terms

  • ASA may update these terms from time to time. You will be notified of material changes.
  • Continued use of ASA services after notification constitutes acceptance of the revised terms.

9. Limitation of Liability

  • ASA provides access to vendors and negotiated benefits but does not warrant or guarantee any outcomes, discounts, or services.
  • ASA is not liable for losses, damages, or dissatisfaction resulting from a Vendor or third party.
  • You agree to hold ASA harmless from claims arising out of your use of the platform.

10. Governing Law

This agreement is governed by the laws of New South Wales, Australia, and any disputes will first be addressed through good faith mediation before any legal proceedings are pursued.
